Tan Tze-Gay has been a Partner in Financial Services since 1992 and is head of the Equity Capital Markets group. She has been involved in a broad range of international transactions in Asia including debt and equity issues and the establishment of investment funds. She also advises international securities and asset management firms on licensing, regulatory and compliance matters.

Her recent transactions of significance include:

 

Tiger Airways Holdings Limited's Rule 144A/Regulation S initial public offering and listing on the Singapore Exchange Securities Trading Limited (SGX-ST) raising S$247.7 million;

CapitaMalls Asia Limited's Rule 144A/Regulation S initial public offering and listing on the SGX-ST raising S$2.8 billion;

Genting Singapore PLC's 1-for-5 rights issue raising S$1.54 billion;

CapitaLand Limited's one-for-two rights issue raising S$1.84 billion;

Chartered Semiconductor Manufacturing Ltd's 27-for-10 rights issue raising US$311.2 million;

Oversea-Chinese Banking Corporation Limited's exchange offer of five per cent. subordinated notes due 2011 for 5.60 per cent. subordinated notes due 2019 callable with step-up in 2014;

United Engineers Limited's rights issue of S$133 million convertible bonds due 2014;

Yanlord Land Group Limited's Rule 144A/Regulation S concurrent offering of 150 million new ordinary shares and S$477.25 million convertible notes due 2012;

Chemoil Energy Limited's Rule 144A/Regulation S initial public offering and listing on the SGX-ST; and

listing of iPath® Exchange-Traded Notes linked to the Dow Jones - UBS Commodity Index Total ReturnSM on the SGX-ST.

Tze-Gay graduated from the National University of Singapore with an LLB (Hons) degree in 1987. She was called to the Singapore Bar in 1988 and joined Allen & Gledhill the same year. Tze-Gay is cited as a leading finance practitioner by a number of legal publications including The Asia Pacific Legal 500 (2003 to 2009), Chambers Asia (2008 and 2009), IFLR 1000 (2004 to 2010), The International Who’s Who of Business Lawyers (2007 to 2009), The International Who’s Who of Capital Markets Lawyers (2009) and Who’s Who Legal: Singapore (2008).
