Sharon Wee is a Partner in Financial Services. She has advised corporates and financial institutions on a broad range of cross border capital markets transactions including initial public offerings, secondary fund-raising and securitisations.

Transactions of significance in which she has advised include:

 

Bukit Sembawang Estates Limited’s one-for-one rights issue, with two free detachable warrants for every five rights shares subscribed to raise up to S$248.2 million;

United Engineers Limited’s rights issue of S$133 million convertible bonds due 2014;

Oversea-Chinese Banking Corporation Limited’s initial public offering of S$1 billion 5.1 per cent. non-cumulative, non-convertible Class B Preference Shares;

OCBC Capital Corporation’s initial public offering of S$1.5 billion 5.1 per cent. non-cumulative, non-convertible guaranteed preference shares;

Rickmers Maritime’s Rule 144A/Regulation S initial public offering on the Singapore Exchange Securities Trading Limited;

the proposed Regulation S initial public offering of an aircraft business trust sponsored by GE Commercial Aviation Services Limited on the Singapore Exchange Securities Trading Limited;

the proposed Regulation S initial public offering of a utilities business trust sponsored by Arcapita Bank B.S.C. on the Singapore Exchange Securities Trading Limited;

Keppel Land’s asset-backed securitisation of future receivables from its residential development projects. This deal won “Securitisation Deal of the Year” by International Finance Review Asia (2002); and

US$950 million acquisition of Indonesia’s biggest coal mine. This deal won the “Southeast Asia Deal of the Year” and “Southeast Asia M&A Deal of the Year” by Asian Legal Business (2006).

 

Sharon read law at the University of Cambridge and was called to the Singapore Bar in 1999. She was seconded to the legal department of UBS in Singapore in 2005, where she was involved in various international capital market transactions.
