Richard Young is a Partner in Corporate Mergers & Acquisitions. His practice area encompasses mergers and acquisitions (both by way of acquisition of shares and businesses), domestic and regional joint ventures, schemes of arrangements, reconstruction and amalgamation, capital reductions and corporate reorganisations. He also advises on general corporate and environmental law, and has experience with commercial contracts including franchising, distribution, agency and consultancy agreements.

Transactions of significance which Richard has been involved in include:

 

the S$9.4 billion corporate restructuring exercise involving the transfer of both listed and unlisted companies and assets held by Singapore Technologies Pte Ltd to Temasek Holdings (Pte) Ltd;

various joint ventures between GIC Real Estate Pte Ltd and ProLogis in establishing ProLogis property funds in amounts exceeding US$1 billion in aggregate, and the subsequent disposal by ProLogis of its interest in these funds to GIC for a purchase consideration of US$1.3 billion;

the merger of Singapore Press Holdings Limited’s and MediaCorp Pte Ltd’s free-to-air television broadcasting and free newspaper businesses;

corporate restructuring involving the transfer of the business of PowerGrid Limited to SP PowerAssets Limited pursuant to a scheme of arrangement and reconstruction;

corporate restructuring involving the merger between Cordlife Ltd and Cytomatrix Inc and listing of the merged entity on the Australian Stock Exchange;

amalgamation and merger of the insurance businesses of various insurers such as HSBC Insurance, Manulife, Royal Sun & Alliance and Tokio Marine Insurance pursuant to schemes of transfer;

the entry by Istithmar PJSC, the investment arm of the Dubai government and City e-Solutions, a unit of Hong Leong, in a US$50 million joint venture with Tunes Hotels.com to open around 30 budget hotels across South-east Asia, including Singapore;

establishing the Marriott Vacation Club, Asia Pacific, a points-based holiday membership club for Marriott International, Inc; and

capital reduction and restructuring exercises undertaken by listed companies such as Singapore International Airlines Limited, Neptune Orient Lines Limited, Singapore Press Holdings Limited, Singapore Telecommunications Ltd, Oversea-Chinese Banking Corporation Limited, Starhub Ltd, Fraser and Neave Limited, Tuan Sing Holdings Limited and Freight Links Express Holdings Limited.

 

Richard co-authored a book on Singapore Environmental Laws which was published by the Regional Institute of Environmental Technology. He graduated from the National University of Singapore with an LLB (Hons) degree and was called to the Singapore Bar in 1995 when he joined Allen & Gledhill. In 1999, he undertook a secondment as Regional Legal Counsel initially for the CNBC Asia and National Geographic cable channels in Singapore, and later to General Electric International Inc., in Hong Kong. He became a Partner in Corporate & Commercial in 2000. Between July 2000 and July 2001, he had a stint in the London office of Linklaters where he assisted and advised on cross-border transactions.
