Bin Wern Sern is a Partner in Financial Services. His areas of practice encompass equity fund raisings and listings on the Singapore Exchange Securities Trading Limited (SGX-ST) as well as corporate and compliance advisory work for Singapore-listed business trusts and companies. He has experience in various facets of corporate work such as financial services regulation, mergers and acquisitions, joint ventures, restructuring and general commercial contracts.

Transactions in which he has been involved include:
 
•

Keppel Corporation Limited’s dividend in specie of units in K-Green Trust and K-Green Trust’s acquisition of “green” infrastructure assets in Singapore and its listing on the SGX-ST by way of introduction;
•

CapitaMalls Asia Limited’s, Hyflux Water Trust’s, Chemoil Energy Limited’s and C & O Pharmaceutical Technology (Holdings) Limited’s initial public offerings and listings on the SGX-ST;
•

CitySpring Infrastructure Trust’s, Neptune Orient Lines Limited’s, DBS Group Holdings Ltd’s and SuperBowl Holdings Limited’s renounceable rights issues;
•

Olam International Limited’s non-renounceable preferential offering of new shares and offering of convertible bonds due 2013;
•

Raffles Education Corporation Limited’s placement of new shares; and
•

Hyflux Water Trust’s acquisition of water-related infrastructure assets in the PRC.

Wern Sern graduated from the National University of Singapore with an LLB (Hons) degree in 1999. He was called to the Singapore Bar in 2000 and joined Allen & Gledhill the same year. He graduated from the ACCA (Association of Chartered Certified Accountants) in 2003. He has had stints in the London office of Linklaters and the Singapore office of Goldman Sachs.
