Allen & Gledhill LLP is pleased to announce the admission of our new Partner, Chen Lee Won, with effect from 1 July 2011.
Lee Won joined our Firm’s Corporate & Commercial team in January 2011 from a large Malaysian law firm, where she started her practice in 1995 and was made a partner in 2003. She is admitted to practise in Singapore and Malaysia. Her practice encompasses financial services, securities laws, cross border and domestic mergers and acquisitions, regional and domestic joint ventures, and general corporate and commercial law.
Some of Lee Won’s notable recent experience includes acting as local counsel to CME Group Inc. in its strategic collaboration with Bursa Malaysia Berhad; lead counsel to Malayan Banking Berhad’s acquisition of up to 20% of Pakistan’s fourth largest bank, MCB Bank Limited; and representing Public Bank Berhad in its long-term regional strategic alliance agreement with ING Asia/Pacific Limited.
We believe her ability and expertise to advise in Singapore and Malaysia, together with her experience in cross border transactions, will allow Lee Won to assist our clients with business interests in Singapore and Malaysia.

Staff of Allen & Gledhill raise funds for Japan disaster victims

Allen & Gledhill LLP has just concluded its fundraising drive in aid of the victims of the Japan disaster.
Supported by a dollar-for-dollar contribution by the Firm, the fundraising raised a total of S$75,000 over a five-day period which will be donated to the Japanese Red Cross.
Allen & Gledhill’s Managing Partner, Lucien Wong, said, “We are saddened by the multiple tragedies faced by the Japanese people and moved by the resilience they have shown. We have many clients and friends in Japan and we wanted to provide a vehicle for our staff to lend financial assistance and show our support and encouragement to our Japanese clients and friends as they continue with rescue and recovery efforts.”
The 11 March Tohoku Pacific 9.0-magnitude earthquake and subsequent tsunami is Japan’s worst post-war disaster.

Allen & Gledhill advises on Singapore’s largest retail preference share offering

Allen & Gledhill LLP has advised DBS Bank Ltd. (the "Issuer") on Singapore’s largest retail preference share offering.
The Issuer has issued S$800 million 4.70 per cent. Non-Cumulative Non-Convertible Non-Voting Class O Preference Shares callable in 2020. The Sole Lead Manager and Bookrunner was DBS Bank Ltd. and the Co-Managers were J.P. Morgan (S.E.A.) Limited and Morgan Stanley Asia (Singapore) Pte.
The Issuer exercised its upsize option in full and increased the total size of the offer from S$500 million to S$800 million to accommodate the strong retail demand from the Singapore public. The Issuer also had the discretion to offer up to S$50 million to employees (the "Reserve Offer") and up to S$250 million to institutional and other investors (the "Placement"). The Public Offer, the Placement and the Reserve Offer accounted for S$550 million, S$205 million and S$45 million respectively of the total Offer size of S$800 million.

Allen & Gledhill advises on Singapore's first Shari’ah compliant REIT

Allen & Gledhill LLP is advising on Singapore’s first certified Shari’ah compliant real estate investment trust (REIT).
Sabana Shari’ah Compliant Industrial Real Estate Investment Trust ("Sabana Shari’ah Compliant REIT") will raise gross proceeds of between S$632.8 million (based on the Minimum Offering Price) and S$691.6 million (based on the Maximum Offering Price) in an initial public offering ("IPO").
The Monetary Authority of Singapore ("MAS") has granted Sabana Real Estate Investment Management Pte Ltd (as manager of Sabana Shari’ah Compliant REIT, the "Manager") a capital markets services licence for its REIT management business. The Preliminary Prospectus relating to the IPO has been lodged with the MAS on 9 November 2010. Sabana Shari’ah Compliant REIT will be the largest listed Shari’ah compliant REIT by assets globally.

Allen & Gledhill LLP is advising on the first real estate investment trust (REIT) listed in Singapore to have taken up Shari’ah compliant debt financing.
Sabana Shari’ah Compliant Industrial Real Estate Investment Trust ("Sabana Shari’ah Compliant REIT") has taken up a S$256 million commodity Murabaha facility (the "Commodity Murabaha Facility"). The Commodity Murabaha Facility has been certified by the Hongkong and Shanghai Banking Corporation (HSBC) Amanah Central Shari’ah Committee to be Shari’ah compliant.

Allen & Gledhill advises on the largest and first ever proposed Stock Exchange Merger in Asia Pacific

Allen & Gledhill LLP is advising Singapore Exchange Limited ("SGX") on the combination of SGX and ASX Limited ("ASX"). The merger of both stock exchanges is the first ever in Asia Pacific.
SGX and ASX have entered into a Merger Implementation Agreement ("MIA") to combine (the "Proposed Combination"). Under the MIA, SGX will acquire all the issued ordinary shares in the capital of ASX by way of a Scheme of Arrangement under Section 411 of the Australian Corporations Act 2001. Under the terms of the Scheme, ASX shareholders will be paid, in relation to each ASX share, a combination of A$22.00 in cash and 3.473 SGX shares. The value of the aggregate consideration payable for the Proposed Combination is approximately A$8.4 billion, based on the closing price of SGX shares as at 22 October 2010.

Allen & Gledhill advises on Singapore’s largest initial public offering since 1993

Allen & Gledhill LLP has advised Global Logistic Properties Limited ("GLP") on its initial public offering (the "IPO"), the largest in Singapore since 1993.
GLP has completed its IPO and listing on the Main Board of the Singapore Exchange Securities Trading Limited. The IPO, together with a concurrent sale to cornerstone investors, (together, the "Global Offering") has raised gross proceeds of approximately S$3.9 billion. Based on the offering price of S$1.96, GLP’s market capitalisation is approximately S$8.8 billion upon its listing. Allen & Gledhill LLP has advised Mapletree Industrial Trust ("MIT") on Singapore’s largest REIT initial public offering ("IPO") to date.
Mapletree Industrial Trust Management Ltd., as manager of MIT (the "Manager") and the sponsor, Mapletree Investments Pte Ltd ("MIPL"), have successfully completed the IPO of units in MIT to raise gross proceeds of S$1.19 billion (which includes the proceeds from the cornerstone and MIPL subscriptions and the over-allotment option which has been fully exercised).
The Manager is a wholly-owned subsidiary of MIPL, which is in turn an indirect wholly-owned subsidiary of Temasek Holdings (Private) Limited. The Monetary Authority of Singapore has granted the Manager a capital markets services licence for its REIT management business.

Allen & Gledhill advises on Singapore’s first retail bond offering by a listed company

Allen & Gledhill LLP has advised Singapore Airlines Limited (“Singapore Airlines”) on Singapore’s first retail bond offering by a listed company, marking a significant milestone in the development of the retail bond market in Singapore.
Singapore Airlines has made an offering (the “Offer”) of S$300 million in aggregate principal amount of 2.15 per cent. bonds due 2015. The Offer was made to the public in Singapore by way of ATMs (the “Public Offer”) and to institutional and other investors (the “Placement”).
DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited and United Overseas Bank Limited are the Co-ordinating Bookrunners of the Offer and Bookrunners and Underwriters of the Public Offer (“Public Offer Underwriters”). DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited, Standard Chartered Bank and United Overseas Bank Limited are the Joint Lead Managers, Bookrunners and Underwriters of the Placement (together with the Public Offer Underwriters, the “Underwriters”).
This is the first retail bond offering by a listed company in Singapore signifying a landmark offer of an on-exchange tradable bond for retail investors. The Singapore Airline bonds will be listed and quoted on the Main Board of the Singapore Exchange Securities Trading Limited and may also be traded over-the-counter on the Debt Securities Clearing and Settlement System (DCSS).

Allen & Gledhill advises on world's first Shariah-compliant data centre fund

Allen & Gledhill LLP has advised Securus Data Property Fund Pte Ltd (“Securus Fund”), the world’s first Shariah-compliant data centre fund.
The Securus Fund has achieved its initial closing of US$100 million with institutional investors from the Middle East and Asia including the Brunei institution Perbadanan Tabung Amanah Islam Brunei (“TAIB”) as a cornerstone investor, and intends to increase its aggregate committed capital to at least US$200 million eventually. Securus Fund is established, managed and sponsored by Keppel Telecommunications & Transportation Ltd and AEP Capital Ltd, a member of the Saudi Arabia-based Al Rajhi Holding Group, to invest in data centre assets across Securus Fund’s target markets in Asia Pacific, Europe and the Middle East. The term of Securus Fund will be five years from the initial closing and may be extended by two additional one-year periods with the approval of the board of directors of Securus Fund.

Managing Partner Lucien Wong has been conferred a lifetime achievement award at the first Chambers Asia Awards held at the Mandarin Oriental, Singapore on Saturday, 1 May 2010. He is one of two top lawyers in Asia to be awarded the prize from Chambers. The selection was based on Chambers’ research over the last few years.
Lucien would like to express his appreciation and gratitude to Partners, without whom this award would not be possible. He would like to dedicate this award to all Partners and lawyers in the Firm and encourage all to proactively relate to our clients and provide the best legal service in Singapore.
This is the second time that Chambers has given Lucien an award. Allen & Gledhill LLP has won the first Singapore Deal of the Year in the Islamic Finance news (IFN) Deals of the Year 2009 Awards for the Monetary Authority of Singapore Sukuk Ijarah Program. This is the first time that an award has been given by IFN for a Singapore deal. Winning the award serves as an acknowledgement of the strides that the Firm has achieved as the leading Islamic Finance firm in Singapore. The same deal also received honourable mention in the Asian-Counsel Deals of the Year 2009.
The IFN Deals of the Year was established in 2006 and recognises those who participated in the industry’s most groundbreaking transactions each year. Financial institutions, intermediaries and service providers are invited to submit their chosen transactions from the previous 12 months, which fall under one of the carefully selected sectors. A panel of experts from non-competing organisations then sieve through all submissions during the elimination process until just one transaction in each category remains and is thus awarded the winner of that category.

We are pleased to announce that our Head of Intellectual Property & Technology, Dr Stanley Lai, has been appointed as Senior Counsel on 9 January 2010 at the opening of the legal year. The appointment of Senior Counsel is given to those with outstanding ability as advocates, extensive knowledge of law and high professional standing.
Stanley is a specialist in all forms of Intellectual Property litigation and enforcement. He also maintains a commercial litigation practice, and regularly advises and represents clients on information technology disputes. Stanley advises a large number of local and foreign clients on branding strategy, and general IP portfolio management and domain name protection. Stanley’s practice has also extended to advising bio-medical and pharmaceutical companies on issues of regulatory/ethical compliance, clinical trials, product recall and product liability. Stanley graduated from the University of Leicester with an LLB (Hons) degree in 1992. He was called to the Bar at Lincoln’s Inn in 1993. He obtained an LLM from the University of Cambridge in 1994 and was called to the Singapore Bar in 1995. Stanley then commenced his Ph.D research at the University of Cambridge in the field of technology law and computer software copyright and completed his doctorate within three years. He is the first Singapore-born lawyer to have been conferred a Ph.D in Law from the University of Cambridge.

Allen & Gledhill LLP is pleased to announce the appointment of Tang Siau Yan as Partner of the Firm’s Tax Practice Group with effect from 1 September 2008. Siau Yan specialises in tax dispute resolution and cross-border tax issues. His expertise includes advising foreign and multinational clients on Singapore taxation and tax-efficient corporate structures for regional investments, tax compliance and regulatory matters. He has also assisted clients in negotiating and resolving tax disputes with the Inland Revenue Authority of Singapore. Siau Yan graduated from The London School of Economics and Political Science with an LLB (Hons) degree (First Class) in 1999 and obtained an LLM from Cambridge University in 2000. After graduation, he joined the Inland Revenue Authority of Singapore and was the Deputy Director of the Legislation branch when he left in 2007. He is also a non-practising member of the Institute of Certified Public Accountants of Singapore.

We are pleased to announce that K Shanmugam SC, a senior partner and the Head of the Litigation & Dispute Resolution practice at Allen & Gledhill LLP (“Allen & Gledhill”), will be appointed to the posts of Minister for Law and Second Minister for Home Affairs in the Singapore Cabinet on 1 May 2008. We warmly congratulate Shanmugam on his ministerial appointments.
Shanmugam has been a partner of Allen & Gledhill since April 1991 and is recognised as one of Singapore’s top litigators. Shanmugam has built up a core team of experienced and highly competent litigators under his leadership of Allen & Gledhill’s Litigation & Dispute Resolution practice. For his outstanding contributions to Allen & Gledhill, we take this opportunity to extend our sincere thanks to Shanmugam and wish him all the best in his ministerial roles.
We would like to announce that Andrew Yeo will be the newly appointed Head of the Litigation & Dispute Resolution practice at Allen & Gledhill. Andrew Yeo has been a partner of Allen & Gledhill since 1998 and Deputy Head of the Litigation & Dispute Resolution practice since 2004. He has acted in several high-profile matters: more recently for the Land Transport Authority in the Nicoll Highway tunnel collapse and the BGC/Tullett Prebon litigation involving the alleged “poaching” of several teams of derivatives brokers. Andrew has been heavily involved in the area of international arbitrations, acting in several large scale commercial arbitrations. He has been recommended for this area of international arbitration in the latest edition of The Asia Pacific Legal 500 (2007/2008). His other areas of specialisation include insolvency and transport/infrastructure disputes.
